User Registration Terms




In these Terms the following words and expressions shall where the context so admits have the following meanings:-


any company, firm or organisation whose Company Web Content appears on the Site

  "Company Web Content"

the information posted by a Company on the Site


the Member Registration Form and these Terms

  "Direct Enquiries"

  "Intellectual Property Rights"

without limitation (registered or unregistered) formulas, procedures, methods, apparatus, ideas, creations, improvements, works of authorship, materials, processes, inventions, techniques, data, know-how, show-how, algorithms, programs, subroutines, tools, patents and patentable materials, trading names and styles, trade marks and service marks, copyrights and copyrightable materials, database rights and trade secrets together with applications for any of the foregoing and any other intellectual property rights as may exist in the world


the password chosen by the Member to gain access to the Members's registration information set out in the Member Registration Form


the provision of access by the Member to the Site and the Site Information


the website with the URL http//www. or any replacement URL

  "Site Information"

all information posted on the Site by Direct Enquiries or by any Company


these terms of business


the person identified in the Member Registration Form as the Member


The headings of these Terms are for convenience only and shall not affect their interpretation.


Basis of Registration


These Terms shall be deemed to have been accepted by the Member on the Member completing and submitting the Member Registration Form.


Direct Enquiries shall not be obliged to accept any Member Registration Form submitted or may cancel any Member registration:-


if it is incomplete, inaccurate or contains information which is considered libellous, derogatory or offensive; or


if Direct Enquiries has reason to believe the Member is in breach of these Terms.




On Direct Enquiries accepting any Member Registration Form the registered Member will be granted access to the Service.


The Member acknowledges that Direct Enquiries does not control the Company Web Content which is under the control of each Company and Direct Enquiries can accept no liability for any Company Web Content which is inaccurate, misleading, offensive, defamatory, obscene or otherwise incorrect.


Direct Enquiries will use all reasonable endeavours within normal accepted standards to provide the Member with continuous access to the Site but does not guarantee the Member's access will be interruption or error free.


Site Information may contain technical inaccuracies or typographical mistakes. Site Information may be changed or updated without notice.


Direct Enquiries makes no representation as to the security or propriety of any website which may be accessed through the Site or in respect of Company Web Content. Connected websites accessed through the Site are independent websites over which Direct Enquiries does not exercise any control whether financial editorial or any other kind and are not in any way endorsed by Direct Enquiries.


If a Member discovers any Company Web Content is incorrect, inaccurate or otherwise deficient the Member can provide details of this to the Company concerned by using the feedback e-mail forms provided.


If Direct Enquiries discovers that any Company registered to use the Site is in breach of Direct Enquiries' terms of registration for companies Direct Enquiries will in its absolute discretion suspend or terminate that Company's registration until the Company Web Content is updated.


Basis of Registration


The Member will be responsible for ensuring the Member Registration Form is completed accurately that the Member's Password is kept secret and secure and not to make the Member's Password known or available to any other person.


If Direct Enquiries considers someone other than the Member has gained access to the Site using the Member's Password Direct Enquiries has the right to suspend the Member's registration.


In the event of a Member providing feedback to any Company via the feedback forms on the Site or otherwise the Member will ensure that any such feedback is made in a courteous and polite manner.


The Service must not be used by the Member in any way that is unlawful or contrary to these Terms and in particular the Service must not be used by the Member for any of the following purposes:-


fraudulently or otherwise unlawfully;


to send, receive, upload, download, use or reuse any information or material which is offensive, abusive, indecent, defamatory, obscene or menacing or in breach of confidence or Intellectual Property Rights;


to cause annoyance, inconvenience or needless anxiety;


to transmit knowingly or recklessly any electronic material through the Site which shall cause or is likely to cause harm in any degree to computer systems owned by Direct Enquiries or other internet Members;


to advertise or otherwise solicit funds or to solicit goods or services.


If in Direct Enquiries' absolute opinion there are reasonable grounds to believe a Member is or is likely to use the Service otherwise than in accordance with these Terms it may either refuse to provide the Service to the Member or suspend the Member's access to the Service.


The Member hereby indemnifies Direct Enquiries from any claim made by a third party resulting from the Member's use of the Site or Service and in respect of any losses, costs, actions, proceedings, claims, charges and expenses whatsoever suffered or incurred by Direct Enquiries in consequence of the Member's breach or non-observance of these Terms whensoever arising.


Intellectual Property Rights


The Member acknowledges the Intellectual Property Rights contained in the Site and the Site Information belongs to Direct Enquiries and the respective owners of the Company Web Content and cannot be used by the Member for any purpose other than using the Service.




Direct Enquiries warrants that the Service will be provided with all reasonable skill and care


Whilst all reasonable measures have been taken to ensure that the Site is virus free no warranty is given that the Site Information or any website accessible via the Site are free from infection from viruses or anything else that has contaminating or destructive properties and Direct Enquiries shall have no liability in respect thereof.


Subject as expressly provided in these Terms all warranties, conditions or other terms implied by law are excluded to the fullest extent permitted by law. Where the Service is being used by a Member who is a consumer the statutory rights of the Member are not effected by these Terms.


Except in respect of death or personal injury caused by Direct Enquiries negligence Direct Enquiries shall not be liable to the Member by reason of any representation (unless made by Direct Enquiries fraudulently) or any implied warranty, condition or other term or any duty at common law or under the express terms of the Contract for any direct loss or damage arising to the Member or for any loss of profit or for any indirect, special or consequential loss or damage, costs, expenses or other claims for compensation (whether arising from the negligence of Direct Enquiries or not) which arose out of or in connection with the provision of the Service or the use made by the Member of the Service.


Member Feedback


If a Member has any comments or complaint about any Company or the Company Web Content it should address all such comments to the Company concerned directly either by using the feedback forms provided or in writing to the Company's head office.


If a Member has any comments about the Site generally all such comments should be sent to Direct Enquiries using the contact details provided in the "Contact Us" page of the Site.




If any provision of the Contract is or becomes illegal, invalid or unenforceable in any jurisdiction such illegality, invalidity or unenforceability shall not affect the remaining provisions hereof and the remainder of this Contract shall continue in full force and effect.


These Terms may be changed at any time without notice. Any changes to these Terms will be posted on the Site. Members will be deemed to have accepted any later version of these Terms by continuing to maintain their registration on the Site.


Except where expressly provided to the contrary the Contract is not intended to be for the benefit of and shall not be enforced by any person other than the Member or any person claims rights under the Contracts (Rights of Third Parties) Act 1999 or otherwise.


The Contract shall be governed by and construed in accordance with the laws of England and the English Courts shall have the non-exclusive jurisdiction to decide any dispute concerning the Contract.
